1. Acceptance of Terms
By submitting a music track (the “Track”) to the #UKDNB Podcast (the “Podcast”, “we”, “us” or “our”) via our website, email, or any other method we designate, you (the “Submitter”, “you” or “your”) confirm that you have read, understood and agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not submit any Track.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into these Terms. If you are submitting on behalf of a label, collective or other rights holder, you confirm you are authorised to bind that entity.
3. Licence Grant
In consideration of the opportunity for your Track to be considered for inclusion in the Podcast, you hereby grant to us a non-exclusive, worldwide, royalty-free, perpetual and irrevocable licence to:
• use, reproduce, broadcast, stream, download, host and distribute the Track as part of any episode(s) of the Podcast;
• create, use and distribute short excerpts, clips, edits, fades or loops of the Track for promotional purposes relating to the Podcast (including social media, trailers, show notes and websites);
• include the Track in archives, rebroadcasts, compilations or “best of” editions of the Podcast;
• use the Track title, artist/producer name(s), and any artwork, logos or metadata you provide in connection with the Podcast and its promotion.
You retain full ownership of the copyright and all other rights in the Track. This is a licence only – nothing in these Terms transfers ownership to us.
4. No Obligation to Use
Submission of a Track does not create any obligation on us to use, feature, credit or promote the Track. We may accept, reject, delay or later remove any Track at our sole discretion, without notice or explanation, and without any liability to you.
5. Your Warranties and Representations
You represent, warrant and undertake that:
• you are the sole owner of the copyright in the Track, or you have obtained all necessary licences, consents, clearances and permissions from every rights holder (including writers, publishers, performers, labels and sample owners);
• the Track (including any samples, interpolations, covers or third-party material) does not infringe any copyright, trademark, moral right, privacy right, publicity right or other third-party right;
• you have the full right, power and authority to grant the licence in clause 3 and to enter into these Terms;
• the Track does not contain any defamatory, illegal, hateful, or otherwise unlawful material; and
• all information and metadata you provide (artist name, track title, links, etc.) is accurate and not misleading.
6. Credit and Attribution
Where we feature the Track, we will use reasonable efforts to credit the artist/producer and Track title in the episode and/or associated materials (show notes, social posts, website), using the details you supply. We are not responsible for errors arising from incomplete or inaccurate information you provide. Credit does not create any additional rights or payment obligation.
7. Promotional Use of Your Identity
You grant us permission to use your artist/producer name, the Track title, and any photograph, logo or biographical information you provide, solely for the purpose of identifying and promoting the Podcast episode(s) that feature the Track and the Podcast generally.
8. Indemnification
You agree to indemnify, defend and hold harmless the Podcast, its operators, hosts, contributors and affiliates from and against any and all claims, demands, losses, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) any claim that the Track infringes third-party rights; or (c) any other claim arising from the Track or your submission of it.
9. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising out of or related to these Terms or the use or non-use of the Track. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
10. Data Protection
Any personal data you submit (name, email, social links, etc.) will be processed in accordance with UK GDPR and the Data Protection Act 2018 for the purposes of managing submissions, producing and promoting the Podcast, and communicating with you about your submission. 11. Request for Removal
You may request in writing that we stop using the Track in future episodes. We will use reasonable efforts to comply for new episodes. However, already published episodes, clips and promotional materials may remain available and the licence in clause 3 continues to apply to them. To request that we stop using the Track in future episodes, please email us in writing at [email protected] with your name, artist name, name of the Track, and the date you submitted the music file.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
13. General
These Terms constitute the entire agreement between you and us concerning the submission of the Track and supersede any prior discussions. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. No failure to enforce any right constitutes a waiver. We may update these Terms from time to time; the version in force at the time of your submission applies to that submission.
